ICoin Copy Trading User Agreement

This Copy Trading User Agreement (“Agreement”) is entered into between you (“you,” “your,” or “User”) and ICoin (“we,” “our,” or “ICoin”). This Agreement sets forth the terms and conditions governing your use of the copy trading services (“Copy Trading Services”) provided through ICoin.com or any of our related websites, application interfaces, or mobile applications (collectively, the “Platform”).

The Copy Trading Services allow users (hereinafter referred to as “Copiers”) to follow and replicate the trades of other users (hereinafter referred to as “Traders”). The terms and conditions in this Agreement should be read together with ICoin’s Terms of Service, Privacy Policy, Disclaimer, and any other agreements you have entered into with ICoin.

If any terms of this Agreement conflict with ICoin’s Terms of Service, Privacy Policy, Disclaimer, or any other agreement you have with ICoin, this Agreement shall prevail. Before using our Copy Trading Services, we recommend that you carefully read and fully understand the terms of this Agreement.

By using the Copy Trading Services, you acknowledge and agree to be legally bound by the terms and conditions of this Agreement, as well as any additional terms, rules, or guidelines related to the Copy Trading Services that we may publish from time to time.

User Eligibility

•You meet all the eligibility requirements set by ICoin for Copy Trading Services.

•You possess sufficient knowledge, experience, and understanding of the nature and risks associated with Copy Trading Services.

•You are aware of and comply with all applicable laws and regulations regarding the use of Copy Trading Services and have agreed to this Agreement.

•ICoin reserves the absolute discretion to suspend or prohibit any user from using the Copy Trading Services at any time.

Use of Copy Trading Services

•By using the Copy Trading Services, you, as a Copier, purchase trading data and information from a Trader and are authorized to use such data and information for your personal trading activities.

•You should carefully evaluate the authenticity, legality, and validity of the relevant trading data and information. ICoin and/or the Platform have no obligation to verify the accuracy of the data and information provided by Traders, including their trading behaviors, trading records, and any other trading-related information.

•You acknowledge and agree that the data and/or information provided by the Copy Trading Services is for reference only, and you assume full responsibility for relying on such data and/or information.

•You have the right and opportunity to seek professional investment advice before using the Copy Trading Services. You confirm that you have considered your overall financial situation, including financial planning, and fully understand the high risks associated with Copy Trading Services. You acknowledge the potential for significant losses, including the complete loss of your investment.

•You assume full responsibility for any liabilities and losses resulting from using the Copy Trading Services. All trades executed under the Copy Trading Services are your responsibility and cannot be reversed or disputed against ICoin, the Platform, or any Traders.

•By using the Copy Trading Services, you agree to pay the fees associated with profits generated from the trading data and information obtained from specific Traders. You will receive a fee notification before using the Copy Trading Services.

Risk Disclosure

Please note that this risk disclosure supplements any other risk disclosures provided on the Platform. Pay special attention to the following risks associated with Copy Trading Services:

a. Copy Trading Services may involve automatic trade execution, meaning trades may be opened and closed in your account without your manual intervention.

b. Due to various factors, including but not limited to network delays, technical issues, trade volume, and account settings, your results may differ significantly from those of the Trader you are copying.

c. Copying the trades of inexperienced and/or unprofessional Traders carries significant risks. ICoin makes no representations regarding the expertise, skill, or prudence of any Trader you choose to follow.

d. A Trader’s investment goals, strategies, or financial situation may differ from yours.

e. The strategies or portfolios of a copied Trader may include products that you cannot access due to legal restrictions or other reasons. The inability to execute alternative equivalent trades may lead to deviations in performance, portfolio composition, risk levels, and other factors compared to the copied Trader.

You acknowledge that the risks disclosed in this Agreement are not exhaustive and that there may be additional risks associated with Copy Trading Services and digital asset trading. You assume full responsibility for all risks involved.

Limitation of Liability

•Copy Trading Services are provided on an “as-is” basis. To the maximum extent permitted by applicable law, we make no warranties and provide no guarantees regarding the quality of the Platform or Copy Trading Services. The risk of using the Copy Trading Services rests entirely with you.

•Regardless of the legal theory (tort, contract, strict liability, or otherwise), neither we nor any Trader shall be liable for any losses you or any third party incur due to using the Copy Trading Services or the Platform. This includes but is not limited to direct, indirect, special, incidental, or consequential losses, such as trading losses, data loss, business interruption, profit loss, savings loss, or investment losses.

•Under no circumstances shall Copy Trading Services be considered investment management, portfolio management, or asset management services.

•To the maximum extent permitted by applicable law, nothing in Copy Trading Services or its features shall constitute personalized investment advice, investment opinions, tax advice, or any other type of financial advice.

We reserve the right to suspend, terminate, or prohibit the following actions:

a. Prohibiting any Trader from participating in Copy Trading Services.

b. Preventing any User from using a Trader’s data and/or information or copying their trades and trading history.

If we suspect or have reason to believe that:

(i) You are engaging in prohibited trading activities, including manipulative or abusive trading.

(ii) You have provided false or incorrect information during the account registration process.

(iii) You have engaged in malicious behavior.

We will terminate all trades, positions, or portfolios under the Copy Trading Services associated with your account.

We do not represent or guarantee the performance of any Trader, nor do we make any representations regarding the investments, accounts, portfolios, or strategies of any Trader.
